1. Acceptance of Terms
a. By placing an order with GRYSCL PRINTS, the Client agrees to these Terms & Conditions.
b. GRYSCL PRINTS is a service operated by Born and Thread.
c. GRYSCL PRINTS reserves the right to update these Terms & Conditions at any time, with updated terms applying to new orders placed after publication.
2. Quotes and Pricing
a. All quotes and pricing are valid for 30 days unless otherwise stated.
b. Prices are based on the information supplied by the Client at the time of quoting.
c. Changes to garment type, quantity, artwork, print size, print location, turnaround speed, or other order specifications may result in revised pricing.
d. All pricing is subject to supplier stock availability and may be revised if product availability changes.
3. Minimum Order Quantities
a. The minimum order quantity for GRYSCL PRINTS is twenty (20) garments per order unless otherwise agreed in writing by GRYSCL PRINTS.
b. GRYSCL PRINTS reserves the right to decline orders that do not meet the minimum order quantity requirements.
c. Any exception to the minimum order quantity requirement is granted solely at the discretion of GRYSCL PRINTS and does not create an obligation to accept future orders below the stated minimum.
4. Artwork Requirements
a. The Client is responsible for supplying artwork suitable for production.
b. Additional artwork preparation, recreation, vectorisation, design work, or file corrections may incur additional charges.
c. GRYSCL PRINTS reserves the right to reject artwork that is unsuitable for production using the GRYSCL PRINTS process.
d. GRYSCL PRINTS is a simplified print service and may not be suitable for highly detailed artwork, gradients, photographic imagery, multi-colour artwork, or complex designs.
e. GRYSCL PRINTS is an express production service offering single-colour printing only. Artwork requiring multiple colours, gradients, photographic imagery, halftones, or significant artwork modification may be deemed unsuitable for the GRYSCL PRINTS service and may be declined or referred to Born and Thread’s standard production service.
f. GRYSCL PRINTS is not responsible for poor print results caused by low-resolution, incorrectly prepared, or unsuitable artwork supplied by the Client.
5. Proof Approval
a. A digital artwork proof will be provided prior to production.
b. The Client is responsible for checking spelling, design, garment selection, print sizing, quantities, colours, and print placement before approving artwork.
c. Once artwork approval has been received, production will commence and changes may no longer be possible.
d. GRYSCL PRINTS will not be responsible for errors, omissions, or inaccuracies approved by the Client.
e. GRYSCL PRINTS reserves the right to make minor artwork adjustments required for production quality and may issue an updated proof for approval where necessary.
6. Payment
a. Full payment is required before production can commence.
b. Orders will not be scheduled into production until payment has been received in full and cleared.
c. All goods remain the property of Born and Thread until payment has been received in full.
d. Any applicable card processing fees will be disclosed at the time of payment.
7. Express Production Service
a. GRYSCL PRINTS offers Same Day, Next Day, 3–4 Business Day and Standard 2 Week turnaround options.
b. Production timeframes commence only after payment has been received in full, artwork approval has been received, suitable artwork files have been supplied, garment stock availability has been confirmed, and the order has been accepted by GRYSCL PRINTS.
c. Same Day service is only available for orders that have been fully approved, invoiced, paid and confirmed by GRYSCL PRINTS prior to 11:00am on the day of production. Submission of an enquiry or order request prior to 11:00am does not guarantee Same Day service.
d. Next Day service is only available where artwork approval, payment, garment availability, and production capacity requirements can be met.
e. Acceptance of an order does not guarantee availability of a specific production timeframe. GRYSCL PRINTS reserves the right to decline, reschedule, or refund orders where production capacity has been reached.
f. Orders delayed due to artwork revisions, stock shortages, supplier delays, courier delays, customer communication delays, equipment failure, power outages, or circumstances beyond GRYSCL PRINTS’ reasonable control may affect production and delivery timeframes.
g. While GRYSCL PRINTS will make every reasonable effort to meet nominated turnaround times, all turnaround times are estimates only and are not guaranteed.
h. GRYSCL PRINTS shall not be liable for any loss, damages, missed deadlines, missed events, missed launches, missed fundraisers, missed performances, loss of profits, loss of business opportunity, or any indirect or consequential losses arising from production or delivery delays.
i. Same Day and Next Day services are available for collection from the GRYSCL PRINTS production facility located at F19 / 49 Corporate Boulevard, Bayswater VIC 3153.
j. Clients are responsible for collecting completed Same Day and Next Day orders during normal business hours (Tuesday to Friday, 8:30am to 4:30pm), either personally or via a courier, freight service, rideshare delivery service, or other collection method arranged by the Client.
k. GRYSCL PRINTS does not arrange courier or freight services for Same Day or Next Day orders. Upon receiving notification that an order is complete, Clients may organise their own courier, freight service, Uber delivery, or rideshare delivery service at their own expense and risk.
l. Orders not collected prior to close of business on the day of completion will be available for collection on the next business day.
m. For the purposes of these Terms & Conditions, a Business Day means Tuesday through Friday, excluding public holidays and periods of business closure.
8. Garment Availability
a. All orders are subject to supplier stock availability.
b. If selected garments become unavailable, GRYSCL PRINTS may offer an alternative garment, colour, or revised production schedule.
c. GRYSCL PRINTS cannot be held responsible for supplier stock shortages, discontinued products, or supplier delivery delays.
d. If an order cannot proceed due to supplier stock issues, GRYSCL PRINTS will work with the Client to provide a suitable alternative or refund where appropriate.
9. Quality & Print Variations
a. GRYSCL PRINTS is committed to producing high-quality garment decoration.
b. Due to the nature of garment printing, slight variations in print placement, sizing, ink coverage, garment manufacturing tolerances, and colour appearance may occur and are not considered defects.
c. Black and white inks may appear differently across various garment colours, fabric types, and garment brands.
d. Minor variations between approved digital proofs and finished printed products are normal and do not constitute a defect.
e. GRYSCL PRINTS reserves the right to determine the most suitable black or white ink system, underbase, print method, and production process required to achieve the best practical print result. Production methods may vary between orders and garment types at the discretion of GRYSCL PRINTS.
f. In the event of a production error attributable to GRYSCL PRINTS, we may, at our sole discretion, reprint, repair, credit, or refund the affected items.
10. Order Changes & Cancellations
a. Orders may be cancelled prior to artwork approval and commencement of production.
b. Once artwork approval has been received, cancellation or changes may not be possible.
c. Where costs have already been incurred, including artwork preparation, garment ordering, screen preparation, production setup, or labour, the Client will be responsible for those costs.
d. GRYSCL PRINTS reserves the right to charge reasonable fees associated with order changes requested after approval.
11. Copyright & Intellectual Property
a. The Client warrants that they own or have obtained permission to reproduce all artwork supplied for production.
b. GRYSCL PRINTS reserves the right to refuse production of artwork that may infringe copyright, trademark, intellectual property rights, or applicable laws.
c. The Client indemnifies and holds harmless GRYSCL PRINTS and Born and Thread against any claims, losses, damages, or legal expenses arising from the reproduction of artwork supplied by the Client.
12. Shipping & Delivery
a. Shipping charges are the responsibility of the Client unless otherwise stated.
b. Risk in the goods passes to the Client once the goods leave the premises of GRYSCL PRINTS or are collected by the Client or the Client’s nominated courier.
c. Delivery timeframes provided by freight carriers are estimates only and are not guaranteed.
d. GRYSCL PRINTS is not responsible for delays, loss, theft, or damage caused by freight carriers after goods have been dispatched.
e. If a re-delivery fee is charged by the freight carrier due to the Client being unavailable to receive the delivery, GRYSCL PRINTS reserves the right to pass this fee on to the Client.
f. Where the Client arranges their own courier, rideshare delivery service, freight service, Uber delivery, or other collection method, all risk transfers to the Client upon collection from the GRYSCL PRINTS premises.
g. Completed orders awaiting collection must be collected within 30 days of notification. GRYSCL PRINTS reserves the right to charge reasonable storage fees or dispose of uncollected goods after reasonable attempts have been made to contact the Client.
13. Limitation of Liability
a. GRYSCL PRINTS’ liability for any claim arising out of or in connection with the goods or services supplied is limited to the amount paid by the Client for the affected goods or services.
b. GRYSCL PRINTS and Born and Thread shall not be liable for indirect, incidental, special, exemplary, or consequential losses including loss of profits, loss of business opportunity, loss of goodwill, missed deadlines, missed events, missed launches, missed performances, fundraising outcomes, or reputational damage.
c. Nothing in these Terms & Conditions excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law that cannot be lawfully excluded.
14. Entire Agreement
a. These Terms & Conditions constitute the entire agreement between the Client and GRYSCL PRINTS and supersede all prior verbal or written communications.
b. By placing an order with GRYSCL PRINTS, the Client acknowledges that they have read, understood, and agree to these Terms & Conditions.
