1. Acceptance of Terms:
a. By engaging in business with Born and Thread for garment decorating services, the Client agrees to abide by the following terms and conditions.
b. These terms and conditions supersede any prior verbal or written agreements.
c. Born and Thread reserves the right to update these terms at any time, with the latest version applying to new orders.
2. Estimates and Quotes:
a. All estimates and quotes are valid for a period of 30 days.
b. Prices are subject to change without notice, but changes will not affect orders already placed and confirmed.
c. GST is applied to all pricing supplied and is listed on the bottom of the Quote PDF sent to you as part of the subtotal amount.
d. Quotes are based on information provided by the Client, any changes to design, garment type, or quantities may result in price adjustments.
3. Artwork and Design:
a. The Client is responsible for providing the artwork and design files in a format compatible with screen printing.
b. Born and Thread may offer design services at an additional cost, and any design work will require Client approval before proceeding.
c. Born and Thread is not responsible for low-quality, pixelated, or incorrectly formatted artwork supplied by the Client.
d. Any time spent correcting or reformatting artwork may be charged at our standard design rate.
4. Proof Approval:
a. The Client will receive a proof of the artwork for approval before production begins.
b. It is the Client’s responsibility to review and approve the proof, checking for accuracy in design, colour, spelling, and placement.
c. Born and Thread will not be held responsible for errors or omissions once the Client has approved the proof.
d. Post artwork approval confirmation, Born and Thread reserves the right to make adjustments to the artwork approval for best outcome results and resend to the Client for a new confirmation of approval with the new edited artwork.
e. Once approved, production will proceed, and no further changes can be made without incurring additional costs.
5. Payment:
a. Full Payment is required to place and begin orders, all goods remain property of Born and Thread until payment is received in full.
b. Payment is due in full prior to an order being placed into our production schedule.
6. Turnaround Time:
a. Born and Thread will provide an estimated production time, but this is not guaranteed.
b. Delays due to factors such as artwork approval, changes, or unforeseen production issues are not the responsibility of Born and Thread. b. Rush orders may be available at an additional fee.
c. Delays due to suppliers, shipping, or events beyond our control (e.g. strikes, shortages, natural disasters) are not our responsibility.
7. Quality Control:
a. Born and Thread is committed to delivering high-quality screen-printed products.
b. In the event of a defect or error attributable to Born and Thread, we will reprint, credit or refund the affected items please note due to the hand-printed nature of screen printing, slight variations in print placement, ink coverage, and colour are normal and not considered defects.
c. Garments supplied by the Client are printed at the Client’s own risk (we cannot guarantee against defects, shrinkage, or print issues on supplied garments).
8. Cancellations and Changes:
a. Orders may be cancelled or changed prior to production, subject to any applicable fees.
b. No cancellations or changes can be made post artwork approval being confirmed. Production begins from confirmation of the artwork approval.
c. If cancelled after materials have been ordered or production has begun, the Client is liable for any costs incurred.
9. Ownership of Screens and Artwork:
a. Any screens, films, or design files created by Born and Thread remain the property of Born and Thread.
b. If requested, these materials may be made available to the Client for a fee.
10. Copyright and Trademarks:
a. The Client is responsible for ensuring that they have the legal right to reproduce any copyrighted or trademarked material.
b. Born and Thread will not reproduce copyrighted or trademarked material without proper authorization.
c. The Client indemnifies Born and Thread against any claims relating to infringement of intellectual property.
11. Shipping and Delivery:
a. Shipping costs are the responsibility of the Client.
b. Born and Thread is not responsible for delays, loss, or damage incurred during shipping.
c. Risk passes to the Client once goods leave our premises.
d. For local pickup from Born and Thread, Clients are responsible for collecting orders within 30 days of completion. Storage fees may apply after that period.
12. Limitation of Liability:
a. Born and Thread’s liability for any claim, whether in contract, tort, or otherwise, arising out of or in connection with the goods or services provided is strictly limited to the amount paid by the Client for those specific goods or services.
b. Born and Thread will not be liable for any indirect, incidental, or consequential loss or damage, including but not limited to loss of profit, business, or goodwill, even if advised of the possibility of such damages.
c. Nothing in these terms excludes or limits any rights or remedies available to the Client under the Australian Consumer Law.
13. Entire Agreement:
a. This contract constitutes the entire agreement between the Client and Born and Thread and supersedes all prior agreements, whether written or oral.
By entering into business with Born and Thread, the Client acknowledges and agrees to the terms and conditions outlined in this Screen Printing Terms and Conditions document.
